3.1 User Obligations

• Placing false, fictitious, or fraudulent orders with no intent to complete the transaction.

Violation of these prohibitions may result in immediate termination of your account, denial of access to our services, and may subject you to civil and/or criminal liability.

4. Intellectual Property Rights

The Site and all content, features, and functionality available through the Site — including but not limited to text, graphics, logos, photographs, images, icons, audio clips, digital downloads, data compilations, software, menu designs, and the selection, arrangement, and coordination thereof — are the exclusive property of Wing Snob and/or its content suppliers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Wing Snob name, logo, trade dress, and all related names, logos, product and service names, designs, and slogans are trademarks of Wing Snob or its affiliates. You may not use such marks without the prior written permission of Wing Snob. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial use in connection with obtaining our food services. This license does not include the right to:

• Modify or copy the materials available on the Site.
• Use any materials for commercial purposes or for public display.
• Remove any copyright, trademark, or other proprietary notices from materials on the Site.
• Transfer the materials to another person or "mirror" the materials on any other server.
• Use data mining, robots, or similar data gathering and extraction methods on the Site.

This license terminates automatically if you violate any of these restrictions or any provision of these Terms. Upon termination, you must destroy any downloaded materials in your possession whether in electronic or printed format.

Any feedback, comments, suggestions, or other communications you submit to us regarding the Site or services may be used by Wing Snob without any obligation to compensate you, and you hereby assign all rights in such submissions to Wing Snob.

5. Payment Terms

5.3 Order Confirmation

Receipt of an order confirmation does not constitute our acceptance of your order. We reserve the right to refuse or cancel any order for any reason, including but not limited to inaccuracies in product or pricing information, suspected fraud, or unavailability of items. If we cancel an order after payment has been processed, we will issue a refund to your original payment method.

5.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once your order has been confirmed and preparation has begun. Refund requests will be evaluated on a case-by-case basis. 5.5 Promotional Offers

6. Disclaimers

6.2 No Warranty of Accuracy

Wing Snob does not warrant that the information on the Site is accurate, complete, reliable, current, or error-free. Menu items, nutritional information, ingredient lists, and allergen disclosures are provided for informational purposes and may be subject to change without notice. It is your responsibility to inform us of any food allergies or dietary restrictions at the time of ordering. Wing Snob is not responsible for any adverse reactions resulting from consumption of our food products where adequate disclosure of allergies was not provided.

6.3 No Warranty of Availability

Wing Snob does not warrant that the Site will be uninterrupted, timely, secure, or free from errors, viruses, or other harmful components. We do not guarantee that defects will be corrected or that the Site or the server that makes it available are free of viruses or other harmful components.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, INCLUDING THE LAWS OF THE UNITED STATES, WING SNOB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, FOOD-RELATED ILLNESS (EXCEPT WHERE CAUSED BY OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT), OR THE COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE USE OF OR INABILITY TO USE THE SITE, OR THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, EVEN IF WING SNOB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL WING SNOB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO WING SNOB IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, Wing Snob's liability shall be limited to the fullest extent permitted by applicable law.

The limitations of liability set forth in this section are a fundamental element of the basis of the bargain between Wing Snob and you. The services would not be provided without such limitations.

8. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation.
• Your use of the Site or services, including any data or content you transmit through the Site.
• Your violation of any third-party rights, including intellectual property rights, privacy rights, or rights of publicity.
• Any claim that content you submitted caused damage to a third party.
• Your fraudulent, negligent, or wrongful conduct.
• Your breach of any representations or warranties made by you under these Terms.
• Any dispute between you and a third-party delivery service or other third-party provider.

Wing Snob reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Wing Snob in asserting any available defenses. You will not settle any claim without Wing Snob's prior written consent.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Wing Snob's principal place of business is located, without regard to conflict of law principles or provisions.

To the extent that any lawsuit or court proceeding is permitted under these Terms, you and Wing Snob agree to submit to the personal and exclusive jurisdiction and venue of the state and federal courts located in the United States for the purpose of litigating any such dispute, claim, or controversy.

Wing Snob operates in compliance with applicable federal laws, including but not limited to:

• The Federal Trade Commission Act (FTC Act), 15 U.S.C. § 41 et seq., governing fair and deceptive trade practices.
• The CAN-SPAM Act of 2003 regarding commercial electronic communications.
• The Americans with Disabilities Act (ADA) regarding accessibility.
• The Electronic Communications Privacy Act (ECPA).
• The Children's Online Privacy Protection Act (COPPA) regarding the privacy of children under 13.
• Where applicable, the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA) for California residents.
• All applicable federal food safety regulations enforced by the U.S. Food and Drug Administration (FDA) and the U.S. Department of Agriculture (USDA).

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to contact Wing Snob first and attempt to resolve any dispute informally by sending a written notice describing the nature and basis of the dispute to [email protected]. Wing Snob will attempt to resolve the dispute within thirty (30) days of receiving such notice. If the dispute is not resolved within that period, either party may proceed to formal dispute resolution as described below.

10.2 Binding Arbitration

EXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT, ANY AND ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE SERVICES PROVIDED BY WING SNOB SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT. The arbitration shall be conducted under the rules of the American Arbitration Association (AAA) or JAMS, as mutually agreed upon, and shall take place in the United States.

You understand that by agreeing to binding arbitration, you are waiving your right to a jury trial and your right to participate in a class action lawsuit or class-wide arbitration.

10.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Wing Snob agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

10.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information. Claims that qualify for small claims court may be brought in small claims court rather than through arbitration.

10.5 Arbitration Costs

The costs of arbitration shall be shared equally by the parties unless the arbitrator determines that one party is the prevailing party and orders otherwise. Each party shall bear its own attorneys' fees and costs unless applicable law requires otherwise or the arbitrator determines in the interest of justice.

11. Term and Termination

11.1 Term

These Terms become effective upon your first access or use of the Site and shall remain in full force and effect while you use the Site or maintain an account with Wing Snob.

11.2 Termination by You

You may terminate these Terms at any time by discontinuing your use of the Site and, if applicable, by closing your account. You may request account deletion by contacting us at [email protected].

11.3 Termination by Wing Snob

Wing Snob reserves the right, in its sole discretion, to terminate or suspend your access to the Site and services, with or without notice and without liability, for any reason, including but not limited to:

All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitation of liability, intellectual property rights, and dispute resolution provisions.

These Terms, together with the Privacy Policy and any other agreements or policies expressly incorporated herein by reference, constitute the entire agreement between you and Wing Snob relating to the subject matter hereof and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, with respect to the Site and services.

16. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by Wing Snob on the Site, shall constitute the entire agreement between you and Wing Snob concerning the Site and services. No agency, partnership, joint venture, employment, or franchise relationship is created between you and Wing Snob as a result of these Terms or your use of the Site.

In the event of a conflict between these Terms and any other agreement between you and Wing Snob, the terms of the separate written agreement shall control, to the extent of the conflict.

17. Force Majeure

Wing Snob shall not be liable for any failure or delay in performance of its obligations under these Terms arising out of or caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, government actions or orders, labor disputes, supply chain disruptions, internet or telecommunications failures, power outages, or any other event beyond Wing Snob's reasonable control. In such circumstances, Wing Snob shall be excused from performance for the duration of the force majeure event.

18. Children's Use

The Site and our services are not directed to children under the age of thirteen (13). We do not knowingly collect personal information from children under 13. If you are under 13, you may not use the Site or provide any personal information to Wing Snob.
